Welcome to ShadowKey Property Management LLC (“ShadowKey,” “Company,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website located at shadowkey.me and our web application located at app.shadowkey.me (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Services

ShadowKey provides AI-assisted property management software and operational tools designed to help property owners, landlords, tenants, vendors, and contractors coordinate maintenance requests, communications, work orders, and related property management activities.

Features may include:

  • AI-assisted maintenance diagnostics

  • Messaging and communication tools

  • Vendor coordination

  • Work order management

  • Property management automation

  • Reporting and operational dashboards

  • SMS, phone, and email integrations

We may modify, suspend, or discontinue portions of the Services at any time without notice.

 

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

By using the Services, you represent and warrant that:

  • You are legally authorized to use the Services

  • Information you provide is accurate

  • You will comply with all applicable laws and regulations

 

3. Accounts and Security

You may be required to create an account to access certain features.

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activities occurring under your account

  • Promptly notifying us of unauthorized access or security concerns

We reserve the right to suspend or terminate accounts that violate these Terms.

 

4. AI-Generated Content and Automation

The Services may use artificial intelligence (“AI”) and automated systems to generate:

  • Maintenance diagnostics

  • Recommendations

  • Work order summaries

  • Vendor matching suggestions

  • Communication drafts

  • Operational insights

AI-generated outputs are provided for informational and operational assistance purposes only.

You acknowledge and agree that:

  • AI outputs may contain inaccuracies or incomplete information

  • ShadowKey does not guarantee the accuracy, reliability, or suitability of AI-generated outputs

  • Users remain responsible for reviewing and validating all decisions, communications, quotes, and maintenance actions

Nothing provided through the Services constitutes:

  • Legal advice

  • Engineering advice

  • Licensed contractor advice

  • Insurance advice

  • Financial advice

  • Emergency response services

 

5. Vendor and Contractor Disclaimer

ShadowKey may facilitate communication between property owners, tenants, vendors, contractors, or service providers.

ShadowKey:

  • Is not a contractor

  • Does not perform maintenance work

  • Does not guarantee vendor quality, licensing, insurance, availability, pricing, or performance

  • Is not responsible for disputes between users and vendors

Users are solely responsible for:

  • Vetting vendors and contractors

  • Verifying licenses and insurance

  • Reviewing quotes and invoices

  • Approving work performed

Any agreements between users and third-party vendors are solely between those parties.

 

6. Payments and Subscriptions

Certain features may require payment or subscription fees.

By purchasing paid Services, you agree:

  • To provide accurate billing information

  • To authorize recurring charges where applicable

  • That fees are non-refundable except where required by law

We may change pricing at any time with reasonable notice.

Third-party payment processors may handle billing transactions.

 

7. Communications Consent

By using the Services, you consent to receive:

  • Emails

  • SMS/text messages

  • Phone calls

  • Push notifications

  • Automated communications

These communications may relate to:

  • Work orders

  • Maintenance coordination

  • Account notifications

You acknowledge and agree that communications conducted through the Services may be:

  • Analyzed by AI systems

for operational, quality assurance, security, documentation, and service improvement purposes.

9. Acceptable Use

You agree not to:

  • Use the Services unlawfully

  • Upload malicious code or harmful content

  • Interfere with system operations

  • Attempt unauthorized access

  • Harass, threaten, or abuse others

  • Use the Services for fraudulent or deceptive purposes

  • Reverse engineer or copy the platform

We reserve the right to suspend or terminate accounts engaging in prohibited conduct.

10. User Content

You retain ownership of content you submit, including:

  • Messages

  • Photos

  • Videos

  • Documents

  • Maintenance requests

However, you grant ShadowKey a worldwide, non-exclusive license to use, host, process, reproduce, and analyze such content as necessary to operate and improve the Services.

You represent that you have the necessary rights to submit such content.

 

11. Intellectual Property

The Services, including software, branding, logos, interfaces, workflows, AI systems, and content, are owned by ShadowKey or its licensors and are protected by intellectual property laws.

You may not:

  • Copy

  • Modify

  • Distribute

  • Sell

  • License

  • Reverse engineer

any portion of the Services without written permission.

 

12. Privacy

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOWKEY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY

  • RELIABILITY

  • AVAILABILITY

We do not guarantee uninterrupted or error-free operation.

 

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADOWKEY SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES

  • INCIDENTAL DAMAGES

  • CONSEQUENTIAL DAMAGES

  • LOST PROFITS

  • LOST DATA

  • PROPERTY DAMAGE

  • PERSONAL INJURY

  • VENDOR DISPUTES

  • SERVICE INTERRUPTIONS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SHADOWKEY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless ShadowKey and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your disputes with third parties

  • Your submitted content

 

16. Termination

We may suspend or terminate access to the Services at any time, with or without notice, for conduct that violates these Terms or may harm the platform or other users.

 

17. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Pennsylvania.

 

18. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
